Terms of Service

Last updated: August 28, 2026

These terms explain Dean Studio’s business-to-business website purchases, managed AI services, approvals, domains, billing, ownership, delivery evidence, cancellation, and client responsibilities.

1. Contracting Party, Business Use, and Agreement

These Terms govern business-to-business services offered under the Dean Studio trade name.

A paid order is based on the selected service, approved scope, price, billing interval or one-time charge, renewal terms where applicable, checkout or order summary, and the policies accepted by the client.

If an invoice, order confirmation, or written scope identifies an order-specific contracting party, service address, governing law, or dispute venue, those details form part of that order. Dean Studio will not invent or silently add them after payment.

By approving a scope, completing checkout, or using a paid service, the client confirms that the purchase is primarily for business use and that the person acting for the client is authorized to bind that business.

If documents conflict, a signed or expressly approved written order or scope controls first, followed by the checkout or order summary, these Terms, and then general marketing copy.

2. Services and Plan Structure

Dean Studio offers a one-time website product called Core and optional recurring managed AI services called Engage and Autopilot.

Core is not a subscription. Engage and Autopilot may be purchased without purchasing Core where the client already has an existing business website or sufficient approved public-facing business content for the setup.

For Engage, Dean Studio may create an independently deployed recreation of the client’s approved public-facing website. The purpose is to reproduce the client’s visible website experience and configure managed features without requiring routine administrator access to or direct modification of the original website.

The recreated non-AI website is included with the Engage setup and remains available to the client after Engage ends. It is not automatically the same product or scope as a new Core website build.

Where the selected billing option permits it, Core may be added as a separate one-time website purchase. The Core charge does not become part of future AI-service renewals.

An initial yearly Autopilot order includes one Core website build for that client project at no additional Core charge. Future yearly renewals cover continued Autopilot managed services and do not include another website, redesign, migration, or replacement build unless separately agreed in writing.

Major redesigns, new pages, custom features, new integrations, unusual migration work, or work outside the approved scope may require separate approval and additional fees.

3. No Guaranteed Business Results

Dean Studio provides websites and managed systems intended to improve clarity, credibility, customer enquiries, and operational workflow. Dean Studio does not guarantee a specific number of leads, bookings, enquiries, sales, rankings, revenue, or other business results. Results depend on the client’s market, offer, pricing, reputation, location, traffic sources, response speed, and follow-up process.

4. Core Preview, AI-Service Demos, and Paid Activation

Dean Studio may approve or decline preview or demo requests based on business fit, service availability, compatibility, and project requirements.

Core is a custom one-time website purchase. Dean Studio may provide a free initial homepage concept or limited preview, but that preview is not the completed website and does not include ownership, source handoff, registrar transfer, or full production deployment before payment.

Engage and Autopilot can be configured or demonstrated around the prospect’s business before paid activation. A demo or setup is not an active free production subscription.

No payment method is required for an approved preview or demo. Billing begins only after the client approves the setup and chooses to activate the paid service.

Paid service begins only after the client selects the applicable product, plan, and billing interval, reviews the displayed amount and renewal terms, affirmatively accepts the applicable policies, and completes a separate checkout.

5. Scope Approval, Final Approval, and Changes

The approved scope may be documented by email, written order, proposal, checkout summary, or another written confirmation accepted by the client.

Final approval may be recorded by an email reply, an approval control supplied by Dean Studio, a signed confirmation, or another written acknowledgement that identifies the approved website or scope.

After final approval, requested design preferences, new content, new pages, new integrations, or work beyond the approved scope may be treated as a change request and may require additional fees or timing.

A technical defect that prevents an approved feature from working as described is different from a new preference or expansion of scope. Dean Studio will use reasonable efforts to correct confirmed defects within the applicable support period.

6. Website Ownership, Source Transfer, and Delivery

Core is sold for a one-time payment at the price displayed at checkout or in the applicable written order confirmation. When Core is included with an initial yearly Autopilot order, the qualifying yearly payment satisfies the Core charge for that order.

After the applicable Core payment and approved project charges have cleared in full and the client-specific website has been delivered, the client owns the completed client-specific Core deliverables.

For a recreated website included with Engage, after the client approves the recreated website and the first paid Engage service period begins, the client receives a continuing right to use the client-specific non-AI website even after the Engage subscription ends.

Upon written request and after any outstanding approved charges are cleared, Dean Studio will provide the available client-specific source files or arrange transfer of the client-specific non-AI website deployment so the client can control, host, modify, or connect another domain to it. The transfer excludes managed chatbot code, managed booking systems, prompts, reusable frameworks, internal tools, service accounts, infrastructure, and other components that are not unique client website deliverables.

After a website or source transfer is completed, the client controls the transferred copy and is responsible for its hosting, domain connections, security, updates, compatibility, and future costs unless separate support is agreed in writing. Dean Studio does not retain control over a transferred client copy.

Dean Studio retains ownership of reusable frameworks, internal tools, templates, automation systems, prompts, general-purpose code, infrastructure, and know-how that are not unique client deliverables.

The client is responsible for reviewing and approving business information, contact details, services, pricing, legal notices, and supplied content before final launch.

Delivery or transfer may be evidenced by deployment records, the live website URL, source-delivery records, administrative-access records, DNS records, written handover, client acknowledgement, and related system logs.

7. Domains, DNS Access, Hosting, and Maintenance

Domains already owned by the client remain the client’s property. The client may connect an existing domain by applying the DNS records and configuration supplied by Dean Studio, and Dean Studio may provide reasonable setup guidance.

Where practical, the domain should be registered in an account owned or controlled by the client, with Dean Studio receiving limited or delegated access only when needed.

Dean Studio may connect the client’s domain to an independently deployed website after the client approves the applicable website version and DNS change.

The client must disclose business email and other domain-dependent services that could be affected by a DNS change. Dean Studio will use reasonable care to preserve disclosed records, but DNS propagation, certificate issuance, registrar verification, and changes outside the approved scope may cause temporary interruption.

When offered and confirmed in the checkout, order, or written scope, Dean Studio may arrange and administer one standard new domain for $50 USD per year. This standard annual domain fee covers ordinary registration or renewal and basic domain administration for the approved domain. Premium-domain pricing, restoration, redemption, transfer, privacy, tax, or exceptional registrar charges are not included unless expressly stated.

A domain arranged by Dean Studio is intended for the client’s business. After cleared charges and subject to registrar eligibility, identity checks, transfer locks, and technical restrictions, the client may request reasonable DNS access or transfer information.

Any transfer between registrars remains subject to registrar requirements, identity checks, transfer eligibility, lock periods, and technical restrictions. Dean Studio does not guarantee immediate transfer where those restrictions apply.

The recreated non-AI website and basic contact form may continue on the existing deployment after Engage ends without an additional Engage subscription charge. If that deployment can no longer be reasonably maintained, Dean Studio will give reasonable notice where practical and provide or arrange transfer of the available client-specific non-AI website files so the client can host the website elsewhere.

Future maintenance, redesigns, content updates, security work, custom development, or ongoing technical support are not included indefinitely unless separately agreed in writing.

8. Engage Website Recreation, Basic Contact Form, and Managed Booking

For Engage, Dean Studio may closely recreate the approved public-facing appearance, structure, visible text, images, colors, typography, branding, service information, contact details, and responsive layout of the client’s existing website in a separately deployed website. This approach normally avoids the need to modify the original website or receive routine administrator access to it.

The client authorizes Dean Studio to reproduce and adapt the approved public-facing text, images, branding, service information, contact details, and other materials for the recreated website and confirms that the client owns those materials or has permission to use and reproduce them.

Dean Studio will use reasonable efforts to make the recreated website visually close to the approved public-facing website and may improve layout, clarity, responsiveness, or conversion flow. Dean Studio does not promise an exact technical copy of proprietary code, locked content, unsupported functions, hidden systems, or features that cannot reasonably be reproduced from approved materials.

After client approval, Dean Studio may supply the DNS records required for the client to connect the approved domain or may configure those records when authorized. The original website is not automatically deleted, transferred, or modified unless the written scope expressly requires it.

The recreated website may include a basic contact form that collects information such as the visitor’s name, location, phone number, email address, requested service, and message. A completed form is sent to the business-owner email address designated by the client.

The client is responsible for providing an accurate destination email, monitoring that inbox, maintaining access to it, reviewing submissions, and informing Dean Studio when the destination email must be changed.

The basic contact form is a non-AI website feature. It does not select appointment dates or times, check live availability, reserve appointments, prevent scheduling conflicts, or provide a complete appointment-booking experience.

A complete managed booking experience, including configured date or time selection, availability, scheduling workflows, confirmations, chatbot-assisted booking, or a separate booking interface, is an Engage subscription feature and may be disabled or removed when Engage ends.

9. Engage and Autopilot Subscriptions

Engage and Autopilot are recurring managed AI services offered with monthly or yearly billing as displayed at checkout.

Engage is currently $249 per month or $2,688 charged once per year. The yearly option may be displayed as a $224 monthly equivalent for comparison only.

Engage may include the managed website chatbot, chatbot widget or popup, conversational lead qualification, contact capture, a complete managed booking experience, configured scheduling workflows, customer confirmations, owner alerts, approved chatbot configuration, and ongoing chatbot management described in the applicable scope.

The recreated non-AI website and its basic email-delivered contact form are distinct from the managed chatbot and complete booking components.

Autopilot is currently $849 per month or $10,188 charged once per year. The initial yearly Autopilot order includes one Core website build for that project.

The recurring fee covers the selected managed services and does not purchase ownership of Dean Studio’s internal AI configurations, automation infrastructure, reusable workflows, prompts, managed booking systems, or service accounts.

Monthly subscriptions renew monthly and yearly subscriptions renew yearly until cancelled. Cancellation must be completed before the next renewal date to prevent the next charge.

10. Billing, Checkout Evidence, and Payment Processing

Payments, payment methods, recurring authorizations, and subscription transactions are processed through the payment provider displayed at checkout, currently PayPal unless another written payment method is agreed.

Dean Studio does not store complete payment-card details on its own servers.

Before payment, checkout will display or confirm the selected product, amount due, any one-time Core charge, annual domain charge, or initial yearly Autopilot inclusion, the recurring amount, renewal interval, cancellation terms, and links to the applicable policies.

Dean Studio may retain checkout evidence such as the selected order, policy versions, affirmative acceptance, timestamp, technical request identifiers, browser information, payment identifiers, and related records for fraud prevention, accounting, service delivery, and dispute handling.

A payment is treated as completed only after it is confirmed or settled by the applicable payment provider. Pending, reversed, returned, disputed, or charged-back amounts remain unpaid.

11. Cancellation, Suspension, and Payment Reversals

Cancelling Engage or Autopilot prevents the next renewal and normally ends the applicable managed services at the end of the current paid monthly or yearly term.

Cancelling a yearly plan during the paid annual term does not shorten that term or create a prorated refund unless required by law or separately agreed in writing.

When Engage ends, Dean Studio may disable or remove the managed chatbot, chatbot widget, popup, AI qualification, complete booking interface, calendar-based scheduling workflows, automated confirmations, and other subscription-only managed components from the recreated website.

Cancellation of Engage alone does not remove the recreated non-AI website or disable its basic email-delivered contact form. The basic form continues to send submissions to the client-designated email while the website deployment remains active.

The client may request transfer of the available client-specific non-AI website source or deployment under Section 6. Ending Engage does not give the client ownership of Dean Studio’s managed chatbot, managed booking system, prompts, reusable workflows, infrastructure, or service accounts.

Cancelling an AI subscription does not remove ownership of a fully paid and delivered Core website, including Core delivered with an initial yearly Autopilot order.

If a payment fails, is reversed, is returned, or remains unpaid, Dean Studio may suspend only the affected unpaid service or feature until the balance is resolved. A managed-service payment issue does not by itself authorize deletion of the client’s domain, transferred website copy, recreated non-AI website, or fully paid Core website.

Managed call handling, AI scripts, AI widgets, complete booking workflows, and similar features that depend on Dean Studio-managed systems may stop when the applicable managed subscription ends.

12. Client Delays, Usage Limits, and External Service Costs

The client is responsible for providing requested content, approvals, access, and technical cooperation within a reasonable time.

If missing information, access, approvals, or client-side action prevents progress, Dean Studio may pause the project and revise the delivery schedule. Material rework or rescheduling caused by extended client delay may require a separate written fee.

Managed plans may include reasonable operational or usage limits to prevent abuse, spam, unlawful use, excessive automated activity, or unexpected service costs.

Material limits will be disclosed in the plan, checkout, order form, or written service confirmation before paid service begins.

Non-refundable external costs may include domain registration or renewal, premium software, hosting, communication usage, AI usage, or integration expenses where the applicable provider does not issue a refund.

13. Client Content, Rights, and Indemnification

The client retains ownership of its branding, supplied business information, customer enquiries, conversation records, and lead data.

The client confirms that supplied or approved content, instructions, claims, images, trademarks, recordings, customer lists, public website materials, and data may legally be used and reproduced for the project and do not infringe third-party rights.

The client must not use the website, chatbot, contact form, booking system, AI receptionist, or communication tools for unlawful activity, misleading conduct, spam, unauthorized calling, prohibited content, or infringement.

To the maximum extent permitted by applicable law, the client will defend, indemnify, and hold harmless the contracting Dean Studio provider from third-party claims, damages, penalties, and reasonable costs arising from client-supplied or client-approved content, client instructions, the client’s products or services, the client’s unlawful use of the services, or the client’s breach of this Section.

Dean Studio will give reasonable notice of a covered claim and reasonable cooperation. The client may control the defense, but may not settle a claim in a way that admits fault by or imposes non-monetary obligations on Dean Studio without written consent.

14. AI Receptionist and Automated Systems

Automated systems may occasionally misunderstand a caller or user, provide incomplete information, or experience interruption. Dean Studio will use reasonable efforts to configure, test, monitor, and refine the service but does not guarantee error-free or uninterrupted operation.

The client is responsible for reviewing and approving business information, scripts, services, booking rules, escalation instructions, and legally required notices.

If recording, transcription, or conversation logging is enabled, the client is responsible for legally required notices and consent.

The AI receptionist is not intended for emergency communication, medical advice, legal advice, financial advice, or regulated decision-making.

15. Disclaimers and Limitation of Liability

Services, previews, integrations, and deliverables are provided as described in the approved scope. Except for express written commitments in that scope and warranties that cannot legally be excluded, they are provided on an as-is and as-available basis.

Dean Studio aims to maintain reliable services but cannot guarantee uninterrupted availability or the continued availability of hosting, communications, AI processing, payment systems, email delivery, booking systems, or other supporting systems outside Dean Studio’s reasonable control.

To the maximum extent permitted by applicable law, Dean Studio is not responsible for indirect, incidental, special, exemplary, punitive, or consequential losses, lost revenue, missed opportunities, external outages, domain-provider restrictions, platform changes, pre-existing defects, or events outside its reasonable control.

To the maximum extent permitted by applicable law, Dean Studio’s aggregate liability arising from an affected service will not exceed the fees paid to Dean Studio for that affected service during the six months immediately preceding the event giving rise to the claim, or the amount paid for the affected one-time Core order if the claim relates only to that order.

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, war, civil disturbance, government action, widespread internet or telecommunications failure, power failure, labor disruption, cyberattack not caused by that party’s failure to use reasonable safeguards, or material outage or policy change by a supporting service. The affected party must use reasonable efforts to reduce the impact and resume performance. Payment obligations for services already delivered are not excused.

17. Copyright and Rights Complaints

A person who believes content hosted or managed through a Dean Studio service infringes their rights may send a written notice to contact@bydeanstudio.com identifying the work or right claimed, the allegedly infringing material and its location, contact information, a good-faith statement, and a statement that the notice is accurate and authorized.

Dean Studio may request additional information, forward the notice to the affected client, restrict access to disputed material, or remove material while the complaint is reviewed.

This process is a practical notice procedure and does not represent that Dean Studio has registered a DMCA designated agent or qualifies for any particular statutory safe harbor.

18. Records and Electronic Communications

The client agrees that electronic records, emails, checkout logs, payment records, deployment records, source-transfer records, access records, and electronic approvals may be used to document the parties’ instructions, acceptance, payment, delivery, and handover.

Screenshots may be used as supporting evidence, but Dean Studio may also retain underlying emails, exports, URLs, timestamps, and system-generated records where available.

19. Governing Law, Venue, and Dispute Process

These Terms do not choose a governing law or exclusive dispute venue unless the applicable invoice, order confirmation, or written scope expressly does so.

Where no order-specific governing law or venue is stated, applicable law and jurisdiction are determined by the transaction facts and any mandatory law that applies. Nothing in these Terms creates jurisdiction where it would not otherwise exist.

Before starting formal proceedings, each party will give written notice describing the dispute and allow at least 15 business days for good-faith discussion, except where urgent injunctive relief or a legally required filing deadline applies.

20. Changes and Contact

Dean Studio may update these Terms when services, supporting systems, security requirements, pricing, or business requirements change. Material changes affecting an active paid subscription will be communicated with reasonable notice.

Questions, legal notices, billing requests, copyright complaints, privacy requests, source-transfer requests, or cancellation requests may be sent to contact@bydeanstudio.com.
